Term and conditions

1) This agreement covers the cost at which INCUSPAZE is to provide Furnished and Serviced office spaces as detailed in this document. In case of any unforeseen circumstances, INCUSPAZE may require for the client company to use alternate office spaces which would be of equivalent size and capacity as that under use by them. 2) Nothing contained herein shall be construed as creating any right, interest or tenancy in favor of the Client’s Company in, over or upon the Business Centre or any part thereof or transferring any interest therein in favour of the Client Company other than the rights
1) This agreement covers the cost at which INCUSPAZE is to provide Furnished and Serviced office spaces as detailed in this document. In case of any unforeseen circumstances, INCUSPAZE may require for the client company to use alternate office spaces which would be of equivalent size and capacity as that under use by them. 2) Nothing contained herein shall be construed as creating any right, interest or tenancy in favor of the Client’s Company in, over or upon the Business Centre or any part thereof or transferring any interest therein in favour of the Client Company other than the rights and permissions granted herein. This Agreement is purely temporary for the period provided herein and shall not be assigned or transferred by the Client Company otherwise than with a written consent from INCUSPAZE. Client Company agrees to comply with any “House Rules”, which INCUSPAZE imposes generally on users of the Centre. 3) (a) The Business Center, including the furniture, fixture, cabinets’ etc is in complete possession and control of INCUSPAZE. Clients have the right to use them only upon payment of the prescribed service charges. (b) The Client Company will be entirely responsible for the activities of its employees / associates / visitors. The Client Company shall nominate at least one of its representatives (preferably an end user) to co-ordinate with INCUSPAZE, routine matters like additional services, service standards, complaints, payments etc. (c)The Client Company and its authorized users shall forthwith inform INCUSPAZE in writing, if the facility granted by INCUSPAZE to an individual in the Client Company is withdrawn for any reason whatsoever. The company shall be liable for all charges incurred for the use of INCUSPAZE services till the time of receipt of the official information received in this matter. (d) The Client Company shall not carry on any business or activity, which, under any law for the time being in force, could be construed as illegal, defamatory, immoral or obscene and agrees not to use the address of INCUSPAZE whether directly or indirectly for any such purpose or purposes. The Client Company cannot use the address of Business Center for the purpose of granting Loan/Credit Cards from Banking or any other Financial Institution. INCUSPAZE would not allow any such misrepresentations wherein the address is shown as the sole address of Client Company and any defaults on payments would be collected from the Business Center owned by INCUSPAZE. INCUSPAZE telephone board line numbers cannot be printed or published on any form of correspondence or advertising. (e)The Client’s Company will not carry out any activity which will be in competition to INCUSPAZE Business Centre like providing serviced office space, meeting rooms etc. or its ancillary services. (f) The Client’s Company is not allowed to use the address of the Business Centre for the purposes of obtaining any registrations or making any filings under any applicable law for time being in force. The Client Company may use the Centre address as its business address only. Any other uses are prohibited without INCUSPAZE’s prior written consent. (g)The Client Company must only use the accommodation(s) for office purposes. Office use of a “retail” or “medical” nature, involving frequent visits by members of the public, is not permitted. (h) The Client Company may only carry on that business in its name that INCUSPAZE agrees. 4) (a) An adjustable Security Deposit (equivalent to 2 Month Workspace Charges) will have to be paid at the time of confirmation and signing of the Contract Agreement. (b) Receipt by INCUSPAZE of duly signed Contract Agreement and the appropriate Security Deposit shall be deemed as acceptance of these terms by the Client’s Company and of any separate agreement. (c) The Security Deposit is adjustable against the outstanding dues of the Client Company. Complete Security Deposit will be adjusted only after the client company gives INCUSPAZE the due TDS certificate. INCUSPAZE shall hold the amount equivalent to the TDS amount until the certificate is received by them. (d) In the event of the Client Company extending its tenure with INCUSPAZE, it will have to communicate the same in writing at least 60 days in advance. INCUSPAZE will inform the Client Company of any rate revision prior to discussions initiated on renewal of the contract. (e) Should the Client Company make use of the office spaces identified under this Agreement beyond the tenure specified above, the Client Company shall be liable to pay such revised rates as may be mutually agreed to between the Parties. (f) The Client Company may terminate this Agreement upon issuance of a notice of 60 days to INCUSPAZE. (g) To the maximum extent permitted by applicable law, INCUSPAZE may put an end to this agreement immediately by giving the Client Company notice and without need to follow any additional procedure if (i) the Client Company becomes insolvent, bankrupt, goes into liquidation or becomes unable to pay its debts as they fall due, or (ii) the Client Company is in breach of one of its obligations which cannot be put right or which INCUSPAZE have given the Client Company notice to put right and which the Client Company has failed to put right within ten (10) days of that notice, or (iii) its conduct, or that of someone at the Centre with its permission or invitation, is incompatible with ordinary office use. If INCUSPAZE puts an end to this agreement for any of these reasons, it does not put an end to any outstanding obligations, including additional services used and the monthly office fee for the remainder of the period for which this agreement would have lasted if INCUSPAZE had not ended it. (h) If the Client Company leaves any property in the Centre, INCUSPAZE may dispose of it at the Client’s cost in any way INCUSPAZE chooses without owing the Client Company any responsibility for it or any proceeds of sale. 5) (a) The Client Company agrees to prevent from its side any defamation, monetary losses, damages etc and if it occurs it agrees to compensate for the same as adjudicated by a court of competent jurisdiction. (b) The Client Company shall not make any changes or modifications in the layout or furniture/fixtures which are provided. (c) The Client Company is not entitled to install any IT, Telecom or cabling related to such equipment without the prior written express permission of INCUSPAZE. Any permitted installations would be carried out under supervision of INCUSPAZE authorized personnel. (d) Any damage to furniture in the form of scratches due to use of cutters or sharp instruments or marks with pen will be treated as disfigurement of Centre property and will be charged at a price to restore the said property to the condition received, to the extent such damage has been caused by the Client Company. 6) (a) INCUSPAZE shall make every effort to provide high standards of efficiency. However, the INCUSPAZE management would not be liable for loss, damages or injury caused on account of non-availability of service at the required time. Should the mentioned service not be available between office hours (9am to 6 pm) for 5 consecutive days or more, then the INCUSPAZE management will agree to have rent abated in proportion to the period of time such services are not available to the Client Company. The amount for which will be decided in consultation with INCUSPAZE Management. (b) Every effort will be made to provide a secure environment, however, INCUSPAZE is not responsible for any cash, jewelry, or any other valuables kept at the center premises. The client may keep such goods or any valuables at his/her entire risk and the center does not under any circumstances undertake to compensate the Client Company in case of loss arising out of theft or any other unforeseen circumstances, except to the extent such loss or theft is caused by INCUSPAZE’s negligence. (c) Though INCUSPAZE would cover all its fixtures and equipment under insurance, it recommends that Client Company should cover any additional equipment installed by them under a separate Insurance cover and INCUSPAZE does not take responsibility for such equipment. d) INCUSPAZE does not make any representation as to the Security of INCUSPAZE’ Network (or the Internet) or any information that the Client Company places on it. The Client Company should adopt whatever security measures (such as encryption) it believes are appropriate to its circumstances. INCUSPAZE cannot guarantee that a particular degree of availability will be attained in connection with the Client’s use of INCUSPAZE’ network (or the Internet). 7) (a) The use of break out and common spaces such as lounge etc at the center is restricted to users only for their occasional use. Should the same be used for internal meetings / interviews etc exceeding 30 mins. the same will be charged as per meeting room rates. The minimum charge incurred on the same will be for an hour. (b) INCUSPAZE Management reserves the right to regulate entry & movement of individuals, for safety and security reasons. INCUSPAZE does not allow visitors (guests/drivers/personal assistants etc) inside the cabins. Should a client require to meet their visitors, the break space/lounge and meeting rooms are available. (c) Access to the business centre is available 24*7. However the normal working is from 0900 Hrs till 1800 Hrs and in case Central Air Conditioning/ Power backups/Office services are required on Holidays and Sundays, the same will be charged at rates to be intimated on request. (d) The Client Company agrees that it will not hire any employee or support staff of INCUSPAZE during the tenure of the agreement and for a period of 12 months beyond the expiry of this Agreement or any extended period. In the event of doing so the Client Company will pay INCUSPAZE an amount equivalent to the cost of hiring and training a replacement, or an equivalent to 12 months salary of the concerned INCUSPAZE employee, whichever is higher. (e) Keys and/or entry cards to Client Company cabin and other meeting rooms remain INCUSPAZE property at all times. The Client Company or its employees or any other person related directly or indirectly with the Client Company must not make any copies of them or allow anyone else to use them without INCUSPAZE’s consent. Any loss must be reported to the Manager of INCUSPAZE immediately and the Client Company must pay the cost of replacement keys or cards and/or changing locks, if required. 8) (a) Payments towards Monthly Service Bills and cabin rental should be made within 7 days of submission of the bill. Any delay will attract delayed payment processing charge @ 1.50% per month of the bill amount. (b) INCUSPAZE is continually striving to reduce its environmental impact and supports its clients in doing the same. Therefore INCUSPAZE will send all invoices electronically (where allowed by law) and the Client Company will make payments via an automated method such as Direct Debit or Credit Card, wherever local banking systems permit. (c) Cheques returned by Client Company’s Bank on account of insufficient funds will incur an addition charge of Rs. 2500/- per instance, in addition to which, INCUSPAZE would be at liberty to proceed with any action under law for such dishonored cheques. (d) INCUSPAZE reserve the right to withhold services (including for the avoidance of doubt, denying Client Company access to the allocated office spaces) while there are any outstanding fees and interest or the Client Company is in breach of the agreement. (e) The Client agrees to pay promptly (i) all sales, use, excise, consumption and any other taxes and license fees which it is required to pay to any governmental authority (and, at INCUSPAZE’s request, will provide to INCUSPAZE evidence of such payment) and (ii) any taxes paid by INCUSPAZE to any governmental authority that are attributable to the accommodation(s), including, without limitation, any gross receipts, rent and occupancy taxes, tangible personal property taxes, stamp tax or other documentary taxes and fees. (f) The Deposit or any balance after deducting outstanding fees, the ‘Business Continuity’ and ‘Office Restoration Service’ and other costs due to INCUSPAZE, will be returned to the Client Company after the Client Company has settled its account with INCUSPAZE and funds have been cleared. (g) INCUSPAZE may require the Client Company to pay an increased deposit if outstanding fees exceed the Deposit held and/or the Client Company frequently fails to pay INCUSPAZE when due. (h) If the Client Company does not pay fees when due, a fee will be charged on all overdue balances. If the Client Company disputes any part of an invoice the Client Company must pay the amount not in dispute by the due date or be subject to late fees. INCUSPAZE also reserves the right to withhold services (including for the avoidance of doubt, denying the Client Company access to its accommodation(s)) while there are any outstanding fees and/or interest or the Client Company is in breach of this agreement. (i)INCUSPAZE will increase the monthly office fee each and every anniversary of the start date of this agreement by a percentage amount equal to the increase in the All Items Retail Prices Index, or such other broadly equivalent index which INCUSPAZE substitutes provided that if the foregoing increase is not permitted by applicable law, then the monthly office fee shall be increased as specified in the House Rules. This will only apply to agreements that have an original start and end date constituting more than a 12 month term. (j) The monthly office fee and any recurring services requested by the Client Company are payable monthly in advance. Unless otherwise agreed in writing, INCUSPAZE will provide these recurring services at the specified rates for the duration of this Agreement (including any renewal). Where a daily rate applies, the charge for any such month will be 30 times the daily fee. For a period of less than a month the fee will be applied on a daily basis. (k) Fees for pay-as-you-use services, plus applicable taxes, in accordance with INCUSPAZE’ published rates which may change from time to time, are invoiced in arrears and payable the month following the calendar month in which the additional services were provided. (l) If the Client Company benefited from a special discount, promotion or offer, INCUSPAZE may discontinue that discount, promotion or offer without notice if the Client Company breaches these terms and conditions or becomes past due on two or more occasions. Additionally, all such discounts and promotions offered to the client company will be reflected in the invoice, generated on the due date. 9) (a) The Business Center, including the furniture, fixture, cabinets, instruments, IT equipment etc. is in complete possession and control of INCUSPAZE. Clients have the right to use them only upon payment of the prescribed service charges. (b) The Client Company should not have any contract or arrangement with outside agencies for the services provided by INCUSPAZE like photocopies, fax, telephone, pantry, courier etc. However, in the case of Courier Services the Client Company will be offered a service provider of its choice through INCUSPAZE. The use of a personal courier service will incur an additional charge. (c) INCUSPAZE has the right to withdraw any services provided should they be causing any inconvenience to other clients. (d) In the eventuality that INCUSPAZE is unable to provide the services and business centre facilities at the contracted Centre then this agreement will end and INCUSPAZE would attempt to offer alternate business centre space, in case of availability. (e) INCUSPAZE would not be under obligation to provide business centre services and the Client Company would be required to pay charges only to the time such services are available and has been used buy the Client Company. (f) INCUSPAZE employees or their vendors would have access to the office spaces occupied by the client company in case of requirement to carry out inspection, repair and maintenance, cleaning or other routine work. Security procedures would be followed in case such work is carried out in the absence of the Client Company representatives and as far as possible, advance notice would be given to the Client Company of such work. 10) INCUSPAZE WILL NOT IN ANYCIRCUMSTANCES HAVE ANY LIABILITY FOR LOSS OF BUSINESS, LOSS OF PROFITS, LOSS OF ANTICIPATED SAVINGS, LOSS OF OR DAMAGE TO DATA, THIRD PARTY CLAIMS OR ANY CONSEQUENTIAL LOSS UNLESS INCUSPAZE OTHERWISE AGREES IN WRITING. INCUSPAZE STRONGLY ADVISES THE CLIENT TO INSURE AGAINST ALL SUCH POTENTIAL LOSSES, DAMAGE, EXPENSE OR LIABILITY. 11) INCUSPAZE will be using your company’s name and logo on the marketing collaterals and website under client list. 12) Prior 2 months notice to be provided after which we will take next 30 days to process refund from the last working day of client 13) This agreement and its terms would be kept confidential by both parties and would not be shared with anyone. 14) All Disputes are subject to the jurisdiction of the courts of Delhi. The Client Company agrees to pay costs of collection of dues, legal expenses and interest charges in the event of legal action being initiated
